1. General Provisions
These Terms and Conditions govern the use of the Digimart.ge website and the legal relationship between customers and Digimart LLC arising from purchases of products through the website.

By placing an order on the website, the customer confirms that they have read and fully agree to these Terms and Conditions.
By purchasing VIP Membership, the customer confirms that they have reviewed and accepted the applicable terms before purchase. Specific VIP Membership terms are set out in Section 15.
These Terms do not restrict any mandatory rights granted to customers by law.
2. Definitions
For the purposes of these Terms and Conditions:
- Company / We / Digimart — Digimart LLC;
- Website — Digimart.ge;
- Customer — any natural person and/or legal entity using the website or placing an order;
- Product — any item or goods listed on the website;
- Order — a request submitted by a customer through the website to purchase a specific product;
- Distance contract — a contract concluded between a customer and a trader by means of distance communication, without their physical presence. This definition corresponds to the Law of Georgia on the Protection of Consumer Rights.
VIP Membership — a paid service valid for 30 calendar days that entitles a registered customer to access special offers.
VIP Member — a registered customer with an active VIP Membership.
VIP Price — a special selling price for a product available to an active VIP Member.
VIP Offers / VIP Catalogue — special offers intended for VIP Members and the dedicated section displaying them.
Fluctuating Availability — a product availability status as explained in Section 15.
3. Use of the Website
Digimart.ge is an online store where customers can browse, select and purchase a range of products.
Customers must:
- use the website lawfully;
- provide accurate, complete and up-to-date information when placing an order;
- refrain from interfering with, damaging or accessing the website without authorization.
4. Product Information
Product descriptions, images, specifications and prices displayed on the website are provided for information purposes. The Company endeavors to keep information accurate and current; however, technical errors, inaccuracies in descriptions, stock changes or incorrect price displays may occur.
Product images may differ slightly from the actual product, including in color, packaging or visual details.
If a material error relating to price, stock or description is discovered after an order is placed, the Company may notify the customer and offer:
- confirmation of the order on the updated terms; or
- cancellation of the order and a refund of any amount already paid.
Products included in VIP Offers, VIP Prices and the main offer conditions are publicly visible to all customers. Purchases at VIP Prices are available only with an active VIP Membership and subject to the product's actual availability.
In the event of a price or stock error, the Company will act in accordance with applicable law; this provision does not exclude the customer's mandatory statutory rights.
5. Prices and Payments
Prices displayed on the website are in Georgian lari (GEL), unless otherwise stated.
Payments can be made using the payment methods available during checkout on the website.
Product prices may change for future orders. Changes apply to already confirmed orders only where permitted by law.
A product may have a standard price and a VIP Price. Only active VIP Members may purchase at the VIP Price, subject to the relevant offer conditions.
The VIP Membership fee and duration are publicly displayed before purchase. The fee may be promotional or change in the future; a new fee will not affect a Membership already purchased.
The final order amount, including delivery charges, is displayed before payment confirmation.
6. Placing and Confirming Orders
After an order is placed, the Company promptly acknowledges its receipt electronically. This technical acknowledgment does not, by itself, constitute unconditional acceptance of the order or the contract. Final acceptance occurs upon confirmation of the order or commencement of its fulfillment, subject to applicable law.
The Company may decline to accept an order if:
- the product is out of stock;
- an incorrect price or description has been displayed;
- payment cannot be verified;
- there is reasonable suspicion of fraud, misuse or other unlawful conduct.
Orders placed at VIP Prices are also subject to the one-time purchase limit under Section 15. An unsuccessful payment or incomplete order does not use up this entitlement.
7. Delivery
Products are delivered within Georgia unless different conditions are indicated on the website or on a particular product page.
Unless a different delivery period is agreed on the product page or at checkout, the Company shall deliver the goods without undue delay and no later than 30 calendar days after the contract is concluded. If the agreed delivery period is not met, customers retain their statutory remedies.
Actual delivery timing may be affected by the following circumstances; this does not restrict customers’ statutory rights:
- high order volumes;
- courier delays;
- inaccurate delivery addresses;
- force majeure events.
VIP Membership includes a fixed discount on the delivery charge. Its exact amount, conditions of use and any geographical restrictions (if applicable) are publicly disclosed before Membership purchase. For an active VIP Member, the checkout page displays the amount of the fixed delivery discount and the final delivery charge payable. The fixed discount agreed at the time of purchase will not be reduced during the 30-day Membership term.
8. Order Cancellation and Right of Withdrawal
Under Georgian law, a consumer generally has the right to withdraw from a distance contract within 14 calendar days without giving a reason, subject to statutory exceptions. For goods, this period generally begins on the day the consumer or a third party designated by the consumer takes physical possession of the goods.
To exercise the right of return, the customer must:
- contact us in accordance with the law and/or the procedure specified on the website;
- not use the product beyond what is necessary to establish its nature, characteristics and functioning;
- follow the return procedure, which may be further described in the Returns Policy.
Cancellation of VIP Membership and refunds of its fee are additionally governed by Section 15. Goods purchased at VIP Prices are subject to the same statutory consumer rights as other goods.
9. Warranties and Product Liability
If a manufacturer's or seller's warranty applies to a product, this will be indicated in its description or accompanying documentation.
If the customer receives damaged, defective or non-conforming goods, they may contact the Company and exercise their statutory remedies. The timing of notification does not, by itself, reduce the rights or periods established by law.
Purchasing at a VIP Price does not reduce the customer's statutory warranty rights or rights relating to non-conforming goods.
10. Customer Account Security
Where a customer account is available on the website, the customer is responsible for:
- keeping their login credentials confidential;
- activities conducted through their account, except where unauthorized access is proven to have resulted from the Company's actions or omissions.
VIP Membership is linked to a registered account. Customers must not use an account or the technical system in bad faith to circumvent VIP purchase limits.
11. Intellectual Property
All materials displayed on the website, including:
- logos,
- design,
- texts,
- photographs,
- catalogues,
- graphic elements,
- software,
unless otherwise stated, are the intellectual property of the Company or the relevant rights holder and are protected by applicable law.
12. Processing of Personal Data
Digimart processes customers' personal data only on a lawful basis and to the extent necessary to:
- receive orders;
- process payments;
- arrange delivery;
- communicate with customers;
- comply with legal obligations.
Personal data processing in Georgia is regulated by the Law of Georgia on Personal Data Protection, which aims to safeguard privacy, family life and confidentiality.
Customers may request information about the processing of their personal data within the limits established by law.
For VIP Membership activation, tracking its term and enforcing the one-time purchase limit, the Company processes necessary data on an appropriate lawful basis. Further information is provided in the Privacy Policy.
13. Prohibited Conduct
Customers must not:
- provide false or misleading information on the website;
- use another person's data without authorization;
- interfere with the website's technical systems;
- distribute malicious code;
- use the website in bad faith, fraudulently or for unlawful purposes.
14. Limitation of Liability
The Company takes reasonable technical and organizational measures to maintain the Website. Any limitation of liability applies only to the extent permitted by law and does not exclude liability for breaches attributable to the Company where such exclusion is prohibited.
To the extent permitted by law, the Company is not liable for consequences caused by the customer’s device, internet connection or third-party services outside the Company’s control, provided the issue is not attributable to the Company. Liability arising from the customer’s breach of these Terms is determined under applicable law.
15. VIP Membership and Special Offers
15.1. Nature and Duration of VIP Membership
15.1.1. VIP Membership is a paid service entitling registered customers to benefit from special offers.
15.1.2. VIP Membership is valid for 30 calendar days from activation.
15.1.3. Only registered customers may purchase Membership. Registration details must be genuine, accurate and up to date.
15.1.4. The VIP Membership price, duration and key terms are publicly available before purchase. The price may be promotional or change in the future, but any change will not affect a Membership already purchased.
15.1.5. VIP Membership does not guarantee the continuous availability or successful purchase of any particular product.
15.2. VIP Membership Benefits
15.2.1. VIP Members may benefit from special product discounts, a fixed delivery-charge discount disclosed before Membership purchase, and access to products reserved for VIP Members. The exact amount and conditions of the fixed delivery discount are publicly displayed before Membership purchase; for active VIP Members, the checkout page also displays the discount and the final delivery charge payable.
15.2.2. The fixed delivery benefit applies under the terms disclosed in advance. Not every product is subject to a VIP discount; purchases at VIP prices are possible only while the applicable offer is active and unreserved stock is available.
15.3. Public Visibility of Offers
15.3.1. The names, special prices and key terms of products included in VIP Offers are publicly available to both VIP Members and non-members.
15.3.2. Offers are displayed in the VIP section and on the relevant product details page.
15.3.3. Viewing VIP Prices does not require Membership, but only active VIP Members may purchase products at those prices.
15.3.4. Publicly viewing information about a VIP-exclusive product does not give non-members the right to purchase it.
15.4. Purchase and Activation
15.4.1. VIP Membership is purchased through the dedicated page on the website, by bank card or by bank transfer to the Company's official bank account.
15.4.2. For bank transfers, Membership is activated after receipt of funds and identification of the payment with the relevant customer.
15.4.3. The Membership term begins upon actual activation; activation and expiration times must be available in the customer's account.
15.4.4. The Company is not responsible for promises independently made by unauthorized third parties regarding the granting of VIP Membership. This does not limit liability prescribed by law for actions of authorized representatives.
15.5. Placing Orders at VIP Prices
15.5.1. VIP Products are purchased through the standard checkout procedure. The applicable VIP Price is displayed on the product page and before final payment confirmation.
15.5.2. An active Membership, a currently valid offer and actual product availability are required to purchase at a VIP Price.
15.5.3. Membership does not grant priority reservation rights to particular stock unless separately specified in the offer.
15.6. One-Time Purchase Limit per Product
15.6.1. During a single 30-day VIP Membership term, a customer may purchase each particular product at the VIP Price only once and in a quantity of one unit. Different VIP Products may be purchased subject to this rule.
15.6.2. The limit is deemed used only after a successfully completed purchase. Adding a product to the cart, an incomplete order, unsuccessful payment or cancellation before purchase does not count toward the limit.
15.6.3. If a purchase is not completed and the order is cancelled, the entitlement is retained while the Membership and offer remain valid.
15.6.4. Subsequent return of successfully purchased goods does not, by itself, restore the right to purchase the same product again at the VIP Price, except where required by law or permitted by the Company.
15.6.5. The limit is intended to ensure fair distribution of limited stock.
15.7. Stock and Availability
15.7.1. Stock of VIP products may be limited and fluctuate. There may be brief periods when all products in the VIP catalogue are temporarily unavailable. This does not remove the Company’s duty to provide the agreed VIP service in good faith and to present availability accurately.
15.7.2. Availability information must be accurate and must not create a misleading impression.
15.7.3. The VIP Catalogue assortment may be updated; the Company's obligations regarding already confirmed orders remain in force.
15.8. “Fluctuating Availability” Status
15.8.1. “Fluctuating Availability” means that unreserved stock may change as a result of high demand, replenishment or temporary reservation in another customer’s cart. A complete stockout must be accurately displayed to customers.
15.8.2. Adding a product to the cart may reserve it for a limited period; during this time, it may be temporarily unavailable to other customers.
15.8.3. If the purchase is not completed within the reservation period, the product may automatically return to available stock.
15.8.4. This status does not guarantee replenishment at any particular time. Where stock is actually exhausted, the Website must accurately indicate the corresponding availability status.
15.8.5. If stock is not replenished within 30 calendar days from the recorded date when unreserved stock was fully exhausted, the product will be removed from the current VIP Offer until stock is actually replenished. The Company may restore the offer after replenishment. Obligations concerning already confirmed orders remain unaffected.
15.9. Expiration and Repurchase
15.9.1. Membership expires 30 calendar days after activation and does not renew automatically.
15.9.2. No recurring charge will be made to the customer's bank card for automatic renewal of Membership.
15.9.3. Continuation is possible only through a new purchase and payment initiated by the customer, under the terms applicable at that time.
15.9.4. After expiration, new orders at VIP Prices cannot be placed, but orders confirmed during the Membership term remain valid.
15.10. Cancellation and Refunds
15.10.1. Customers may request cancellation of VIP Membership by contacting the Company through the contact details in Section 18. The Company considers the request in accordance with statutory rights and the terms applicable when the Membership was purchased.
15.10.2. Cancellation of VIP Membership and refund of the Membership fee are considered separately. Any amount paid is refunded to the customer in the circumstances, to the extent and within the periods provided for by Georgian law or by the terms agreed when the Membership was purchased.
15.10.3. Where the price of the separate VIP Membership service does not exceed GEL 30, the requirements of Chapter III of the Georgian Law on Consumer Rights Protection generally do not apply to that service. This does not limit other statutory rights, including remedies for failure to provide the service or defective performance.
15.10.4. If a statutory no-reason right of withdrawal applies to a particular VIP Membership, the customer may exercise it within the applicable 14-day period, subject to statutory conditions and exceptions. Any request for immediate commencement of the service must be express; activation alone is not the same as full performance of the service.
15.10.5. Where there is a statutory or contractual basis for a refund upon cancellation of VIP Membership, Membership terminates when the relevant legal basis takes effect, the customer ceases to have access to future VIP benefits, and the amount due is refunded under the applicable law and contractual terms, to the relevant extent and within the applicable deadlines.
15.10.6. Where there is no statutory or contractual basis for a refund, the customer retains the paid VIP Membership until the end of its original 30-day term; Membership does not renew automatically.
15.10.7. Cancellation of Membership does not automatically cancel already confirmed product orders. Customers retain their statutory remedies if the Company fails to provide the service or materially breaches the agreed terms.
15.11. Misuse
15.11.1. It is prohibited to use fake accounts, other persons' data or technical vulnerabilities to circumvent VIP restrictions.
15.11.2. Where there are reasonable grounds for suspicion, the Company may take proportionate measures consistent with law; mandatory consumer rights remain unaffected.
15.12. Changes to the Terms
15.12.1. The Company may change fees, purchase limits and service terms for future VIP Memberships.
15.12.2. Changes apply only to Memberships purchased or renewed after the changes take effect.
15.12.3. The principal terms agreed upon at purchase, including the 30-day term, the per-product purchase limit and the fixed delivery benefit, remain in force for an active Membership until its expiry, except where changes are required by law or benefit the customer.
15.12.4. This does not guarantee that individual offers, the product range or stock levels will remain unchanged.
15.13. Customer Consent
15.13.1. Before purchase, customers may review the VIP Membership fee, duration, purchase limits, the amount and conditions of the fixed delivery discount, and the cancellation and refund terms.
15.13.2. By purchasing VIP Membership, the customer confirms that they have reviewed and agree to the Terms and Conditions in force at that time, including this Section 15.
15.13.3. This consent does not restrict the customer's mandatory statutory rights.
16. Changes to the Terms and Conditions
The Company may update these Terms and Conditions and publish the revised version together with its effective date.
New Terms do not retroactively change already confirmed orders or the principal terms of an active VIP Membership, except as provided by law or agreed with the customer.
Changes to VIP Membership terms apply only to Memberships purchased or renewed after those changes. The principal terms of an existing 30-day Membership remain in force, except for changes required by law or favorable to the customer.
Changes to the current VIP Catalogue assortment and stock do not constitute changes to the principal contractual terms of an active Membership.
17. Dispute Resolution and Governing Law
These Terms and Conditions are governed by the laws of Georgia.
